This End-User License Agreement ("Agreement") is a legal contract between you ("Licensee") and Labset ("Publisher") governing the use of apps, plugins, and tools ("Products") published on the Atlassian Marketplace.

1. Definitions

  • Host Product means any Atlassian product compatible with the Product, including but not limited to Jira, Confluence, and Bitbucket.
  • Product means any app, plugin, or tool published by the Publisher on the Atlassian Marketplace.
  • Subscription means a time-limited right to use a Product, subject to renewal.
  • Licence Key means a unique code provided to the Licensee to activate a paid Product.
  • Evaluation Period means the free trial period during which the Product may be used for evaluation purposes.

2. Grant of License

Evaluation License

During the Evaluation Period, the Publisher grants the Licensee a temporary, non-exclusive, non-transferable license to install and use the Product solely for the purpose of evaluating its functionality.

Paid License

Upon purchase of a Subscription, the Publisher grants the Licensee a non-exclusive, non-transferable license to install the Product on multiple machines, provided that only one active instance per seat is in use at any time.

Free Products

Where a Product is offered free of charge, the Publisher grants the Licensee a non-exclusive, non-transferable, revocable license to use the Product for personal, educational, or internal business purposes. No commercial agreement is required.

Products are licensed, not sold. All rights not expressly granted remain with the Publisher.

3. Restrictions

The Licensee shall not:

  • Share, sublicense, sell, lease, rent, or lend a Product or Licence Key.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of a Product, except where permitted by applicable law.
  • Modify the Product beyond configuration and styling options explicitly designed for customisation.
  • Remove or alter any proprietary notices, labels, or marks on the Product.
  • Use the Product to build a competing product or service.

4. Ownership

Each Product is and remains the sole property of the Publisher and its licensors. This Agreement does not transfer any ownership rights to the Licensee. Open-source components included in a Product remain governed by their respective licenses.

5. Delivery & Updates

Products are delivered electronically via the Atlassian Marketplace. Activation of paid Products requires an Atlassian account and a valid licence. The Publisher may release updates that modify features, require acceptance of revised terms, or change system requirements at its discretion.

7. Privacy

Products do not transmit source code or project content externally. Products may collect telemetry in accordance with the Atlassian Marketplace privacy policy and the Atlassian Cloud security requirements.

8. Disclaimer of Warranties

The Products are provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. The Publisher does not warrant that any Product will be error-free or uninterrupted.

9. Limitation of Liability

In no event shall the Publisher be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of a Product. The Publisher's total liability shall not exceed the fees paid by the Licensee in the twelve months preceding the claim.

10. Termination

This Agreement remains in effect for the duration of an active Subscription or license. The Publisher may terminate this Agreement if the Licensee breaches any term. The Marketplace operator may terminate access for non-payment. Upon termination, the Licensee must cease all use of the Product and destroy any copies in their possession.

11. Export Compliance

The Licensee agrees to comply with all applicable export control laws and regulations when using the Products.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
